Terms of Service

These terms govern your use of Visalytix (the “Service”), a computer vision analytics platform developed by NavyaAI Private Limited for PranInnovations Inc, USA (“we”, “us”). By creating an account or using the Service, you agree to these terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation.
1. The Service
Visalytix lets you connect video sources, run computer vision analytics over them (including face detection), and review the resulting events through a web dashboard and API.
2. Accounts and access
You must provide accurate registration details and keep your credentials secure. New accounts require approval by an administrator before they become active. Access is scoped by organisation and role; you may only access data you are authorised to access. You are responsible for activity that occurs under your account.
3. Acceptable use
You agree not to:
- use the Service to monitor individuals unlawfully, or without any notice or consent required in your jurisdiction;
- connect video sources you do not own or lack permission to record and analyse;
- use the Service to harass, discriminate against, or unlawfully profile individuals;
- attempt to gain unauthorised access to the Service, other organisations’ data, or the underlying infrastructure;
- interfere with, overload, or disrupt the Service, or circumvent its access controls;
- reverse engineer or resell the Service except as permitted by law.
4. Your data and responsibilities
You retain ownership of the video sources you connect and the analytics data generated from them. You grant us the limited right to process this data solely to provide and support the Service.
You are solely responsible for ensuring you have a lawful basis to capture and analyse footage of identifiable individuals, and for complying with applicable surveillance, data protection, and biometric privacy laws. Face detection may produce data treated as sensitive or biometric in some jurisdictions.
5. Availability
The Service is provided on an as-available basis and may be offered for evaluation or demonstration purposes. We do not commit to any uptime or service level unless agreed separately in writing, and environments may be suspended, reset, or decommissioned.
6. Intellectual property
The Service, including its software, interfaces, and documentation, remains our property and that of our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the Service, and no other rights.
7. Third-party services
The Service depends on third-party providers, including Google Cloud Platform, Vercel, and Google Sign-In. Your use of those services is also subject to their terms. We are not responsible for third-party outages or changes.
8. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Computer vision analytics are probabilistic: detections may be incomplete, inaccurate, or produce false positives. You must not rely on the Service as the sole basis for safety-critical, security-critical, or legally consequential decisions about individuals.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amounts you paid us for the Service in the twelve months preceding the claim, or INR 10,000.
10. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your use of the Service, the video sources you connect, or your breach of these terms or applicable law.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these terms, if required by law, or if necessary to protect the Service or its users. On termination, your right to use the Service ends and we may delete your data after a reasonable period.
12. Changes
We may update these terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
13. Governing law
These terms are governed by the laws of India, and the courts of Hyderabad, Telangana have exclusive jurisdiction over any dispute, without regard to conflict of law rules.
